These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://www.q-kb.com/ (the “Site”), operated by Q Kitchen & Bath (“Q Kitchen & Bath,” “we,” “us,” or “our”), a design-build remodeling firm located at 3135 Harbor Blvd, Suite C, Costa Mesa, CA 92626.

By accessing, browsing, or using the Site, submitting a contact or consultation request, or otherwise communicating with us through the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, please do not use the Site.

We may update these Terms at any time. Changes take effect when posted to this page with a revised “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Important: This Website Is Not a Construction Contract

Nothing on this Site creates a contract for remodeling, construction, or design services.

Any remodeling, renovation, room addition, or design-build work performed by Q Kitchen & Bath is governed exclusively by a separate written home improvement contract signed by both you and Q Kitchen & Bath. That signed contract – not this website, not an emailed estimate, not a phone conversation, and not these Terms – defines the scope of work, price, payment schedule, timeline, change order process, warranties, and all other terms of the project.

In the event of any conflict between these Terms and a signed home improvement contract, the signed contract controls with respect to the project it describes.

Under California law, home improvement contracts must be in writing and must include specific disclosures and consumer protections, including cancellation rights. You will receive a copy of your signed contract before work begins.

3. Contractor Licensing

4. Service Area

Q Kitchen & Bath provides design-build remodeling services throughout Orange County, California, including Costa Mesa, Irvine, Santa Ana, Newport Beach, and surrounding communities. Availability in any specific location is not guaranteed and is subject to scheduling, permitting jurisdiction, and project scope. Descriptions of our service area on this Site are informational and do not constitute a commitment to accept any particular project.

5. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems or networks
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission

6. Consultations, Estimates, and Pricing

6.1 Requests Are Not Binding

Submitting a contact form, consultation request, or project inquiry through the Site does not create a contractual relationship, reserve a project slot, or obligate either party. We reserve the right to decline any project for any lawful reason.

6.2 Estimates and Quotes

Any pricing information, cost range, budget guide, or estimate presented on the Site is general and illustrative only. Actual project costs depend on scope, site conditions, structural and mechanical conditions, material selections, permitting requirements, and other factors that can only be assessed through an in-person evaluation.

Written estimates issued by Q Kitchen & Bath are valid only for the period stated on the estimate and are subject to change based on conditions discovered after the estimate is prepared, including conditions concealed behind finished surfaces. An estimate is not a contract and does not become binding until incorporated into a signed home improvement contract.

6.3 Timelines

Any project duration, schedule, or completion timeframe referenced on the Site is an estimate based on typical projects. Actual schedules are affected by permitting and inspection timelines, material lead times and availability, weather, homeowners association approvals, coastal or historic district review where applicable, change orders, and unforeseen site conditions.

7. Communications and Consent

By providing your phone number, email address, or other contact information through the Site, you consent to be contacted by Q Kitchen & Bath regarding your inquiry by phone, text message (SMS), or email, including through automated means where applicable.

• Consent to receive marketing communications is not a condition of purchasing any service.

8. Intellectual Property

8.1 Our Content

All content on the Site – including text, page copy, photographs, project galleries, renderings, floor plans, design concepts, graphics, logos, icons, video, and the compilation and arrangement of that content – is the property of Q Kitchen & Bath or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The “Q Kitchen & Bath” name and logo are trademarks of Q Kitchen & Bath. You may not use them without our prior written permission.

8.2 Limited License

You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the Site and to print or download individual pages for your personal, non-commercial use in evaluating our services. This license does not permit:

• Reproduction, republication, or distribution of Site content for commercial purposes
• Use of our project photography in any advertising, listing, portfolio, or promotional material
• Modification of content or removal of copyright or proprietary notices

8.3 Design Documents

Design concepts, drawings, renderings, specifications, and plans prepared by Q Kitchen & Bath remain our intellectual property unless ownership is expressly transferred in a signed written agreement. Design materials provided to you during a proposal or design phase are for evaluating our proposal only and may not be used to solicit bids from, or to have work performed by, another contractor.

8.4 Project Photography

We may photograph completed projects for our portfolio, website, social media, and marketing materials. Photography and publication rights are addressed in your signed project contract. We do not publish client names, street addresses, or other identifying details without permission.

9. Submissions and Reviews

If you submit photographs, project descriptions, measurements, reviews, testimonials, comments, or other materials to us through the Site or otherwise (“Submissions”), you represent that you own or have the right to provide those materials and that they do not infringe the rights of any third party.

You grant Q Kitchen & Bath a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and display Submissions in connection with our business, including in marketing materials, unless you tell us otherwise in writing.

We are not obligated to keep Submissions confidential, and no confidential relationship is created by a Submission. Do not send us information you consider confidential or proprietary through the Site.

10. Third-Party Links, Products, and Services

The Site may contain links to third-party websites, including manufacturers, product suppliers, review platforms, financing partners, and industry associations. These links are provided for convenience only. We do not control third-party sites and are not responsible for their content, products, services, privacy practices, or availability. 12. Limitation of Liability

To the fullest extent permitted by applicable law, Q Kitchen & Bath and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, or business interruption, arising out of or relating to your use of, or inability to use, the Site – whether based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to your use of the Site will not exceed one hundred dollars ($100.00).

This section applies to your use of the Site only. It does not limit our liability for work performed under a signed home improvement contract, which is governed by that contract and by California law. Nothing in these Terms limits liability for gross negligence, willful misconduct, fraud, personal injury, or any liability that cannot be limited or excluded under California law, including California Civil Code § 1668.

13. Indemnification

You agree to indemnify, defend, and hold harmless Q Kitchen & Bath and its owners, officers, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute arising out of them or your use of the Site are governed by the laws of the State of California, without regard to conflict of law principles.

14.2 Venue

You agree that any action or proceeding arising out of these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the jurisdiction of those courts.

14.3 Project Disputes

Disputes concerning remodeling or construction work are governed by the dispute resolution provisions of your signed home improvement contract, which may include mediation or arbitration requirements, and by applicable California law. Consumers also retain the right to file a complaint with the Contractors State License Board.

15. Accessibility

16. General Provisions

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Q Kitchen & Bath regarding your use of the Site, and supersede any prior agreements regarding the Site. They do not supersede any signed home improvement contract.

Assignment. You may not assign or transfer these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, wildfire, earthquake, labor disputes, supply chain disruption, utility failure, government action, or public health emergency.

Headings. Section headings are for convenience only and do not affect interpretation.
